The baseline confidentiality undertaking required before protected access is activated.
Confidential information includes protected documents, architecture, data, credentials, discussions, demonstrations, source material, commercial terms and any information identified as restricted or reasonably understood to be confidential.
The recipient may use confidential information solely for the approved institutional purpose and only through authorized people, systems and locations with a demonstrated need to know.
The recipient must apply at least reasonable professional protection, prevent unauthorized copying or disclosure, report suspected loss immediately and cooperate with containment and evidence preservation.
Disclosure does not grant intellectual property rights, a licence, ownership, exclusivity, commercial appointment or authority to make public claims.
On request or expiry, protected material must be returned or securely deleted where legally possible. Confidentiality, ownership, audit and restricted use duties survive account closure for the applicable protection period.
